Terms

General terms and conditions for businesses (B2B) and consumers (B2C)

Please note: this translation is provided for convenience. Only the German version of this page is legally binding.

Part A – General provisions

§ 1 Provider and scope

(1) These general terms and conditions (“Terms”) apply to all contracts between FutureHorizons UG (haftungsbeschränkt), Alban-Berg-Str. 11, 85057 Ingolstadt, Germany (“FutureHorizons”, “we”), and its customers. They also apply to services provided under the brands FasCore Management & Consulting, FlowDatum, FutureHorizons Institut für Deutsch (FHI) and FutureHorizons Academy.

(2) Part B applies to contracts with businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Part C applies to contracts with consumers within the meaning of Section 13 BGB. Parts A and D apply to all contracts.

(3) Deviating terms of the customer only apply if we have expressly agreed to them in text form. Individual agreements take precedence over these Terms.

§ 2 Contract language and communication

The contract language is German. On request, we also communicate in English or Arabic; translations of these Terms are for information only, and the German version is authoritative.

§ 3 No legal or tax advice

We do not provide legal services within the meaning of the German Legal Services Act (RDG) or tax advice. Where we refer or coordinate tax advisors, lawyers or auditors, the contract for their services is concluded exclusively between the customer and the respective specialist, who provides the service on their own responsibility.

For founding support, we accompany and coordinate: we arrange appointments, compile documents and accompany the customer if desired. We do not represent the customer at the notarisation and do not make any founding declarations on their behalf; the customer attends the notary appointment in person (or in the notarial online procedure). Only the notary drafts the articles of association or founding deed. The customer signs and submits applications and letters to authorities themselves; any power of attorney is limited to organisational tasks.

When setting up accounting and document management systems, we provide technical services only. Bookkeeping, payroll, annual financial statements and tax returns are not part of our services.

Part B – Businesses (B2B): consulting, software, marketing

§ 4 Conclusion of contract and scope of services

(1) Our offers are non-binding. A contract is concluded by our order confirmation in text form or by the start of performance.

(2) The type and scope of services result from the offer or service description. Consulting, interim and marketing services are provided as services; no specific economic result is owed. Software and web development is provided as work performance (Werkleistung) where this has been expressly agreed.

(3) We provide interim management as an independent consulting and support service. We do not take on any corporate office at the customer (e.g. managing director or board member) and do not provide temporary agency workers within the meaning of the German Temporary Employment Act (AÜG); our staff are subject exclusively to our instructions.

(4) We may use suitable subcontractors. We remain responsible to the customer for their services.

§ 5 Customer cooperation

The customer provides all information, documents, access and contact persons required for the service in good time and in full. Delays caused by a lack of cooperation are not our responsibility; agreed deadlines are postponed accordingly.

§ 6 Remuneration and payment

(1) The prices agreed in the offer apply, plus statutory VAT. Services charged by time are invoiced at the agreed hourly or daily rates.

(2) Invoices are due without deduction within 14 days of the invoice date. For longer projects, we may request reasonable instalment payments.

(3) Necessary travel costs and expenses are reimbursed separately as agreed.

§ 7 Acceptance of work performance

Work performance (in particular software and websites) must be accepted after completion. Acceptance is deemed to have taken place if the customer does not notify material defects in text form within 14 days of delivery or uses the work productively.

§ 8 Rights of use

(1) Upon full payment, the customer receives a simple, unlimited right of use in terms of time and territory to the work results created individually for them, for the contractually intended purpose, unless otherwise agreed.

(2) The licence terms of the respective open-source components and third-party software apply to them. General know-how, tools and reusable components remain with us.

§ 9 Claims for defects

In the case of defects in work performance, we first provide subsequent performance at our discretion by repair or re-performance. If subsequent performance fails, the customer may reduce the price or withdraw from the contract in accordance with statutory provisions. Claims for defects become time-barred twelve months after acceptance; this does not apply in cases of intent, gross negligence, fraudulent intent or damage resulting from injury to life, body or health.

§ 10 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee assumed.

(2) In the event of a slightly negligent breach of a material contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

(3) We are only liable for loss of data to the extent that the damage would also have occurred if the customer had backed up data properly and in a manner appropriate to the risk.

§ 11 Confidentiality and data protection

Both parties treat the other party’s confidential information as confidential, including after the end of the contract. Where we process personal data on behalf of the customer, the parties conclude a data processing agreement pursuant to Art. 28 GDPR.

§ 12 Term and termination

Ongoing services (e.g. marketing support, maintenance, hosting) have the term agreed in the offer. If nothing has been agreed, they can be terminated with one month’s notice to the end of a month. The right to extraordinary termination for good cause remains unaffected. Notices of termination must be given in text form. Ongoing contracts concluded online can also be cancelled using the “Verträge hier kündigen” button (www.futurehorizons.de/vertraege-kuendigen).

§ 13 Place of jurisdiction

If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is Ingolstadt.

Part C – Consumers (B2C): German courses, online orders and other services

§ 14 Conclusion of contract

(1) Registration for German courses of the FutureHorizons Institut für Deutsch takes place via www.fhi-deutsch.de or in text form. The presentation of courses is not yet a binding offer. By registering, you submit a binding offer; the contract is concluded with our registration confirmation by email.

(2) For application support, translation and other services for consumers, the contract is concluded with our order confirmation in text form. Job placement (private job placement under Sections 296 ff. SGB III) is only subject to a fee for jobseekers if this has been agreed in writing and the placement has led to an employment contract. The fee is at most €2,000 including VAT unless the law provides otherwise; we do not request advance payments. Application support and translations are separate services and not a condition for placement. We do not provide temporary agency work and do not carry out any recruitment or placement reserved to the Federal Employment Agency under Section 38 of the German Employment Ordinance (BeschV).

(3) Services can be ordered online at www.futurehorizons.de/auftrag. By clicking “Zahlungspflichtig beauftragen” (order with obligation to pay), the customer submits a binding offer; entries can be corrected at every step until then. The contract is concluded with our order confirmation by email, to which the contract text is attached as a PDF. The contract language is German.

§ 15 Course services

(1) Courses take place live online via Zoom, in groups of no more than eight participants. Learning materials are provided via the Moodle learning platform. Scope, level, dates and price are set out in the course description at the time of registration.

(2) You need a suitable device with a camera, microphone and a stable internet connection. You are responsible for the technical equipment on your side.

(3) Missed lessons do not entitle you to a price reduction. There is only a right to make up lessons if this has been agreed.

(4) Participants may not make audio or video recordings of lessons.

(5) If a minimum number of participants is not reached or a course is cancelled for other reasons for which we are not responsible, we may cancel the course or offer an alternative date. In this case, we refund any amounts already paid in full if you do not accept the alternative date.

§ 16 Confirmation of attendance

After completing a course, you receive a confirmation of attendance (Teilnahmebestätigung) if you have attended at least 80 % of the lessons. It confirms the course, level, period and scope and contains no grade or assessment. We do not issue certificates; the confirmation of attendance is not a language certificate or proof of an exam. Official exams (e.g. Goethe-Zertifikat, telc, TestDaF) are taken at external test centres and are not part of the course.

§ 17 Prices and payment

All prices are final prices. Unless otherwise agreed, the course fee is due before the course starts. The available payment methods are stated at registration.

§ 18 Termination

Courses with a fixed term cannot be terminated by ordinary notice before they end. Your statutory right of withdrawal and the right to terminate for good cause remain unaffected. Any different cancellation conditions are stated at registration.

§ 19 Liability

§ 10 (1) and (2) apply accordingly to liability towards consumers. Your statutory warranty rights remain unaffected.

Withdrawal information

Consumers have a right of withdrawal in accordance with the following information. Only the German version of this information is legally binding.

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day the contract is concluded.

To exercise your right of withdrawal, you must inform us (FutureHorizons UG (haftungsbeschränkt), Alban-Berg-Str. 11, 85057 Ingolstadt, Germany, phone: +49 157 38168104, email: info@futurehorizons.de) of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email). You may use the attached model withdrawal form, but this is not mandatory. If the contract was concluded via an online interface (e.g. on www.fhi-deutsch.de), you can also declare your withdrawal using the withdrawal function provided there.

To meet the withdrawal deadline, it is sufficient for you to send your notice of withdrawal before the withdrawal period has expired.

Consequences of withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (except for the additional costs resulting from your choice of a type of delivery other than the cheapest standard delivery offered by us), without undue delay and at the latest within fourteen days from the day on which we received notice of your withdrawal from this contract. We will use the same means of payment that you used for the original transaction for this reimbursement, unless expressly agreed otherwise with you; in no case will you be charged any fees for this reimbursement.

If you requested that the services begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the time you inform us of the exercise of your right of withdrawal with regard to this contract, compared with the total scope of the services provided for in the contract.

Special notes

Your right of withdrawal expires in the case of a contract for the provision of services when we have provided the service in full and only began performing it after you gave your express consent and at the same time confirmed your knowledge that you lose your right of withdrawal once we have fully performed the contract.

Model withdrawal form

(If you wish to withdraw from the contract, please complete and return this form.)

§ 20 Consumer dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

Part D – Final provisions

§ 21 Applicable law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the state in which they have their habitual residence.

§ 22 Amendments and partial invalidity

Amendments to these Terms only apply to contracts concluded after the amendment. Should any provision of these Terms be invalid, the validity of the remaining provisions remains unaffected; the statutory provisions take the place of the invalid provision.
